Privacy Policy

This Privacy Policy explains how Clef Technologies Inc. collects, uses, shares, and protects information about you when you use Clef.
1. Introduction
This Privacy Policy describes how Clef Technologies Inc. (“Clef,” “we,” “us,” or “our”), a Delaware corporation located at 8 The Green, STE B, Dover, DE 19901, handles information in connection with our websites, applications, and services (the “Service”). By using the Service, you agree to this Policy. If you do not agree, please do not use the Service.
2. Information we collect
We collect the following categories of information:
- Account information. Your name, email address, password, and related details you provide when you register or manage your account.
- Profile and acquisition data. Information you add to build your buyer profile, including your investment thesis, buy-box criteria, target industries and geographies, and notes, as well as deals you save or track.
- Verification and financial information. Information you choose to provide to verify yourself as a buyer, such as proof-of-funds documentation.
- Payment information. When you subscribe, our payment processor (currently Stripe) collects and processes your payment details. Clef does not store full card numbers; we receive limited information such as billing status and the last four digits of your card.
- Inputs to AI features. The prompts, questions, and data you submit to our AI assistant and analysis tools.
- Listing page content (browser extension).If you install our browser extension, then when you ask Clef about a listing or save it, the extension reads the content of the web page you are actively viewing and sends it to us so Clef can identify and analyze that listing. The extension reads a page only when you take one of these actions; it does not read pages in the background or on pages where you have not engaged it. See the “Browser extension” section below for details.
- Usage and device information. Information automatically collected when you use the Service, such as IP address, browser and device type, pages and features used, referring pages, and timestamps, collected through cookies and similar technologies.
- Communications. Information you provide when you contact us for support or otherwise communicate with us.
3. How we use information
We use information to:
- provide, operate, maintain, and secure the Service;
- create and manage your account and surface listings and matches relevant to your buy box and saved searches;
- power AI features such as the assistant, deal analysis, and personalized results;
- process payments, manage subscriptions, and prevent fraud;
- communicate with you, including service updates, alerts you request, and (where permitted) marketing you can opt out of;
- analyze usage to understand and improve the Service;
- comply with legal obligations and enforce our terms.
4. AI and automated processing
To provide AI-powered features, your inputs and related data may be processed by us and by third-party AI providers acting on our behalf. We instruct our providers to process this data only to provide the features to you. AI output is generated automatically and may be inaccurate; it is informational only and is not a substitute for professional advice or your own due diligence.
5. How we share information
We do not sell your personal information. We share information only as described below:
- Service providers. With vendors that help us operate the Service, such as cloud hosting and infrastructure, payment processing (Stripe), AI providers, analytics, and email delivery, who are permitted to use the information only to provide services to us.
- At your direction.When you choose to share your buyer profile or other information (for example, with a broker or seller), we share it as you direct. Once shared, the recipient’s use is governed by their own practices.
- Legal and safety. When we believe disclosure is required to comply with law or legal process, to enforce our terms, or to protect the rights, property, or safety of Clef, our users, or others.
- Business transfers. In connection with a merger, acquisition, financing, or sale of assets, information may be transferred as part of that transaction.
- With your consent. For any other purpose disclosed to you with your consent.
6. Cookies and tracking
We and our providers use cookies and similar technologies to keep you signed in, remember your preferences, secure the Service, and understand usage. You can control cookies through your browser settings, though disabling them may affect some features.
7. Data retention
We retain personal information for as long as your account is active and as needed to provide the Service, and thereafter as necessary to comply with our legal obligations, resolve disputes, prevent fraud, and enforce our agreements. When information is no longer needed, we delete or de-identify it.
8. Security
We use administrative, technical, and physical safeguards designed to protect information. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security. You are responsible for keeping your account credentials confidential.
9. Your choices and rights
You can review and update much of your account information within the Service. Depending on where you live, you may have rights to access, correct, delete, or receive a copy of your personal information, and to object to or restrict certain processing. To exercise these rights, email us at hello@tryclef.com. We will respond consistent with applicable law and may need to verify your identity.
California residents. Subject to applicable law, you may request the categories and specific pieces of personal information we have collected, the purposes for collecting it, and the categories of third parties with whom we share it, and you may request deletion. We do not sell personal information. We will not discriminate against you for exercising your rights.
Marketing. You can opt out of marketing emails using the unsubscribe link in those messages; we may still send you transactional or service-related messages.
10. Third-party listings and links
The Service surfaces listings and links from third parties. Their information and websites are governed by their own privacy practices, which we do not control. We encourage you to review the privacy policies of any third party you interact with.
11. Children’s privacy
The Service is intended for users who are at least 18 years old. We do not knowingly collect personal information from children. If you believe a child has provided us information, please contact us so we can delete it.
12. U.S.-based service
Clef is based in the United States and operates the Service in the United States. If you access the Service from outside the United States, you understand that your information will be processed in the United States, where data-protection laws may differ from those in your jurisdiction.
13. SMS and text messaging
If you text the phone number we display on our website, you are opting in to receive SMS text messages from Clef in reply. We send these messages only after you start the conversation, so all messaging is user-initiated.
- No sharing of mobile information. We do not share or sell your mobile phone number or SMS opt-in information with third parties or affiliates for their own marketing or promotional purposes. Mobile opt-in data is excluded from the information sharing described elsewhere in this Policy.
- Message frequency. Message frequency varies and depends on your interactions with us.
- Message and data rates. Message and data rates may apply.
- Opt out and help. Reply STOP at any time to stop receiving messages, or reply HELP for assistance. You can also reach us at hello@tryclef.com.
- Message content. Our messages may include business-for-sale listing information and links to our website. They do not include content related to lending or other restricted categories.
14. Browser extension
We offer an optional browser extension (“Ask Clef”) that lets you ask Clef about a business-for-sale listing on the website you are viewing and save it to your Clef pipeline. This section explains how the extension handles information. It supplements, and does not replace, the rest of this Policy.
- You start every action. The extension does not read pages on its own. It reads the content of the page you are viewing only when you ask Clef a question about that listing or choose to save it. It does not run in the background, track your browsing across sites, or read pages you have not engaged it on.
- What we receive. When you take one of those actions, the extension sends us the address (URL) and content of the page you are viewing so Clef can identify the listing and extract details such as the business description, asking price, financials, industry, and location. We also receive the questions you ask Clef and the listings you choose to save.
- How we use it.We use this information only to provide the extension’s features: to analyze the listing you are viewing, answer your questions, and add the listing to your private pipeline in your Clef account. Listings you save through the extension are private to your account and are not shown to other users. Processing may involve the third-party AI providers described in the “AI and automated processing” section.
- Sign-in. Using the extension requires a Clef account. Sign-in is handled through our authentication provider (WorkOS), and the extension stores your session locally in your browser so you stay signed in.
- What we do not do. We do not sell information collected through the extension, do not use it for advertising, and do not use or transfer it for any purpose unrelated to the features described above.
- Third-party sites. The websites you view the extension on are operated by third parties and governed by their own privacy practices, which we do not control.
15. Changes to this Policy
We may update this Policy from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Policy.
